Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your access to and use of the Hudukey platform, including the Hudukey mobile application, website (hudukey.com), and all related services (collectively, the "Platform"), operated by {{COMPANY_LEGAL_NAME}}, a company incorporated under the Companies Act, 2013, with its registered office at {{REGISTERED_OFFICE_ADDRESS}} ("Hudukey", "we", "our", "Company").

By creating an account, accessing, or using the Platform, you ("User") agree to be bound by these Terms, our Privacy Policy, and any additional terms applicable to specific features or services. If you do not agree to these Terms, you must not use the Platform.

These Terms constitute a legally binding agreement between you and Hudukey. We reserve the right to amend these Terms at any time. Continued use of the Platform after notification of amendments constitutes acceptance of the revised Terms.

2. Eligibility

To use the Platform, you must:

1. be at least 18 years of age;
2. hold a valid driving licence issued by a competent authority in India (or the relevant jurisdiction for cross-border rides) for the category of vehicle you intend to operate;
3. have legal capacity to enter into a binding contract under the Indian Contract Act, 1872;
4. not be barred from using the Platform under applicable law or under any prior suspension or termination by Hudukey.

By registering an account, you represent and warrant that you meet all eligibility requirements. Hudukey reserves the right to verify eligibility at any time and to suspend or terminate accounts that do not satisfy these requirements. The Platform is not directed at or intended for persons under the age of 18.

3. User Obligations

As a User of the Platform, you agree to:

1. provide accurate, current, and complete information during registration and keep it up to date;
2. maintain the confidentiality of your account credentials and notify Hudukey immediately of any unauthorised access;
3. use the Platform only for lawful purposes and in accordance with these Terms;
4. comply with all applicable Indian traffic laws, motor vehicle regulations, and road safety rules while on rides;
5. not use the Platform to organise or participate in rides that violate any law or endanger other participants or third parties;
6. not upload, share, or transmit content that is defamatory, obscene, harmful, or infringes third-party intellectual property rights;
7. not attempt to circumvent, disable, or interfere with the security or functionality of the Platform;
8. not scrape, crawl, or extract data from the Platform by automated means without our express written consent;
9. comply with our Community Guidelines at all times.

You are solely responsible for your conduct on and off the Platform and for any content you submit.

4. Limitation of Liability

To the maximum extent permitted by applicable law:

1. Hudukey provides the Platform on an "as is" and "as available" basis. We do not warrant that the Platform will be error-free, uninterrupted, or free of harmful components.
2. Hudukey is a technology platform that facilitates route planning and community connections. We are not a transport operator and do not organise, supervise, or insure any ride. Participation in any ride is entirely at your own risk.
3. In no event shall Hudukey, its directors, officers, employees, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform, including but not limited to loss of revenue, loss of data, personal injury, or property damage — whether based in contract, tort (including negligence), strict liability, or otherwise.
4. Our total aggregate liability to you for any claim arising out of or relating to these Terms or the Platform shall not exceed the amount you paid to Hudukey in the 3 months preceding the event giving rise to the claim, or INR 1,000, whichever is greater.
5. Nothing in these Terms excludes or limits liability for death or personal injury caused by our gross negligence or fraud.

5. Termination

By User

You may deactivate your account at any time through Settings > Account > Delete Account. Deletion requests are processed within 30 days. Certain data may be retained as required by law or for legitimate business purposes as described in our Privacy Policy.

By Hudukey

We may suspend or terminate your access to the Platform, with or without notice, if:

1. you breach any provision of these Terms or our Community Guidelines;
2. we are required to do so by law or a competent authority;
3. your conduct poses a safety risk to other Users or third parties;
4. your account has been inactive for more than 24 consecutive months.

Effect of termination

Upon termination, your licence to use the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination (including Limitation of Liability, Governing Law, and Dispute Resolution) shall survive.

6. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

Dispute Resolution

In the event of any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or validity thereof, the parties shall first attempt to resolve the dispute through good-faith negotiation. If the dispute is not resolved within 30 days, either party may refer it to arbitration.

Arbitration

Disputes shall be resolved by a sole arbitrator appointed by mutual agreement, or failing agreement within 15 days, by the competent courts in {{ARBITRATION_SEAT}}, India. The arbitration shall be conducted in English under the Arbitration and Conciliation Act, 1996.

Jurisdiction

Subject to the arbitration clause above, the courts at {{JURISDICTION_CITY}}, India shall have exclusive jurisdiction over any matter relating to these Terms.
